End User License Agreement (EULA)
This agreement between you or your business (hereinafter "You") and wook software / jainawat software Pvt. Ltd. (hereinafter "wook") governing your use of our website and software services that wook offers (hereinafter "wook Services").
By using the Service you confirm that you are agreeing to be bound by the following terms and conditions. By proceeding to using, download and install wook Software / App / Website (or any updates to this Software that we may make available from time to time), you agree to the terms of this page and your use of such Software / App / Website (including any updates) will be in compliance with these Terms and Conditions. If you do not agree to these, we are unwilling to license our Software to you. In this case, you may not download or install our Software and you must discontinue the download or installation process.
01. Wook services
We provide online/offline services, software products and a set of supplementary services like sms packs, email delivery and cloud storage on 'AS IS WHERE IS' basis. We provide a group of services including Invoicing / Billing, purchase management, Inventory management, Client management, Expense management, Employee management, Reporting tools, and Estimate/Order Form creator and so on to serve as a complete business management Software “Service” or “Services”.
You may use the wook Services for your personal and business use or for internal business purpose in the business unit that you represent. You may connect to the wook Services using any internet browser or operating system supported by the wook Services. Access to the internet, operating system and any other equipment or software needed to use the wook Services is your responsibility.
02. Terms of service
a) You must be 13 years or older to use this Service.
b) You must be human. “Bots” or other automated sign-ups aren't permitted.
c) You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
d) You're responsible for maintaining the security of your database. Intelligent IT SRL can't and won't be liable for any loss or damage from your failure to comply with this security obligation.
e) You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

03. License to use our Service
"License" means the terms and conditions for the use of the software, and has the form of an Authorization Key document that sets forth one specific Licensed Software and the specific number of Concurrent Authorized Users and Serial Number and Authorization Code associated with the Licensed Software. Its form may vary depending of the chosen type of Service.
a) Types of Service: The Service offers both free and paid licenses, which are described on the website www.wooksoftware.com. You should note that different limitations apply to the various subscriptions. Any supplemental terms applicable to the subscriptions are incorporated herein. We may also provide promotional or trial subscriptions which are limited in time, specifications etc.
b) Fees and Taxes: If you register for a paid license, you must designate from the site a payment method you are authorized to use and provide us with accurate and up to date billing and payment information. We will bill you for paid license, including any applicable taxes, fees and surcharges, through the payment method you designate and you agree to pay us for all charges incurred under your account.
c) Under the grand of a testing or paid license you may not:
i. Sell, rent, transfer or sub-license the license of this software;
ii. Republish material from this software;
iii. Sell, rent, transfer or sub-license material from the software;
iv. Use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
v. Attempt to decompile or reverse engineer any software contained by wook service;
vi. Remove any copyright or other proprietary notations from the materials
vii. Transfer the materials to another person or " copy/mirror" the materials on any other server.
This license shall automatically terminate if you violate any of these restrictions. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

05. Third party
The licensor is not responsible for support, customization or development carried out by third party suppliers. The Licensor is not responsible for commitment entered into by a third party that could represent an obstacle to the performance of these Terms and Conditions.
06. Intellectual Property Ownership
Wook software (jainawat software pvt. Ltd.) alone (and its licensors, where applicable) shall own all right, title and interest, including all related Intellectual Property Rights, in and to the wook software, the Content and the Service and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to the Service. This Agreement is not a sale and does not convey to you any rights of ownership in or related to the Service, wook software Technology or the Intellectual Property Rights owned by jainawat software pvt. Ltd. wook name, wook logo, and the product names associated with the Service are trademarks of wook or third parties, and no right or license is granted to use them.
07. Spamming and Illegal Activities
You agree to be solely responsible for the contents of your transmissions through the wook Services. You agree not to use the Services for illegal purposes or for the transmission of material that is unlawful, defamatory, harassing, libelous, invasive of another's privacy, abusive, threatening, harmful, vulgar, pornographic, obscene, or is otherwise objectionable, offends religious sentiments, promotes racism, contains viruses, or that which infringes or may infringe intellectual property or other rights of another. You agree not to use the Services for the transmission of "junk mail", "spam", "chain letters", "phishing" or unsolicited mass distribution of email. We reserve the right to terminate your access to the wook Services if there are reasonable grounds to believe that you have used the Services for any illegal or unauthorized activity.
08. Internet Delays
Wook services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. Wook services are not responsible for any delays, delivery failures, or other damage resulting from such problems.
09. Limitation of Liability
You agree that wook services / jainawat software pvt. Ltd. shall, in no event, be liable for any consequential, incidental, indirect, special, punitive, or other loss or damage whatsoever or for loss of business profits, business interruption, computer failure, loss of business information, or other loss arising out of or caused by your use of or inability to use any of the wook services, even if wook services has been advised of the possibility of such damage. Your sole and exclusive remedy for any dispute with wook related to any of the Services shall be termination of such Service. In no event shall wook's entire liability to you in respect of any Service, whether direct or indirect, exceed the fees paid by you towards such Service.
10. Suspension and Termination
We may suspend your user account or temporarily disable access to whole or part of any Service in the event of any suspected illegal activity, extended periods of inactivity or requests by law enforcement or other government agencies. We will also terminate your user account on your request. In addition, we reserve the right to terminate your user account and deny the Services upon reasonable belief that you have violated the Terms. Termination of user account will include denial of access to all wook Services, deletion of information in your user account such as your e-mail address and password and deletion of all data in your user account.
11. Modification of Terms of Use
Wook reserves the right to update and change the Terms and Conditions from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to these Terms and Conditions. You may terminate your use of the wook Services if the Terms are modified in a manner that substantially affects your rights in connection with use of the wook Services. Your continued use of a Service after notice of any change to the Terms will be deemed to be your agreement to the amended Terms.
